These Terms of Service (“Terms”) govern your access to and use of the Aude.ai services, websites and applications (collectively, the “Service”) provided by Aude Incorporated (“Aude”, “we”, “us” or “our”).

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a company or organisation, you represent that you have authority to bind that entity, and “you” refers to that entity.

If you have a separate written subscription agreement with Aude (for example, an order form or master subscription agreement), that agreement will govern to the extent it conflicts with these Terms.

1. Eligibility

You may use the Service only if you:

  • Are at least 18 years old; and

  • Have the legal power and authority to enter into these Terms.

If you are using the Service on behalf of an organisation, you confirm that you are authorised to do so.

2. Accounts and Security

You are responsible for:

  • Providing accurate and up-to-date account information.

  • Maintaining the confidentiality of your login credentials.

  • All activities that occur under your account.

You must notify us promptly at support@aude.ai if you suspect unauthorised use of your account or any other security breach.

We reserve the right to suspend or terminate accounts that we reasonably believe are compromised or being misused.

3. Use of the Service

You agree that you will not:

  • Use the Service for any unlawful purpose or in violation of applicable law.

  • Attempt to gain unauthorised access to the Service or related systems.

  • Interfere with or disrupt the integrity or performance of the Service.

  • Reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent such restriction is prohibited by law.

We may suspend or limit your access to the Service if we reasonably believe you are violating these Terms or creating a security or operational risk.

4. Subscriptions and Payment

Certain features or usage levels of the Service may require payment of fees.

  • Fees, billing term, and payment method will be presented to you at the time you subscribe or in a separate order form.

  • Unless otherwise stated, all fees are non-refundable.

  • We may change pricing or billing terms for future subscription periods by providing advance notice.

For customers with a separate written subscription agreement, the billing and payment terms in that agreement will apply.

5. Customer Data & Privacy

“Customer Data” means data you or your users submit to the Service, including engineering metadata and related information from integrated tools.

  • You retain all rights, title and interest in and to Customer Data.

  • You grant Aude a non-exclusive, worldwide licence to host, use, process, transmit and display Customer Data only as reasonably necessary to:

    • provide and improve the Service;

    • prevent or address service, security or technical issues; and

    • comply with law or a valid legal process.

We will handle personal data within Customer Data in accordance with our Privacy Policy and, where applicable, any separate Data Processing Agreement (DPA) we enter into with you.

Aude does not require access to source code or your end-customer financial data for the core Service, and we do not sell personal data.

6. Intellectual Property

The Service, including its software, user interfaces, designs, and all related intellectual property, is owned by Aude and its licensors.

These Terms do not grant you any ownership interest in the Service. You may not copy, modify, create derivative works of, or distribute the Service or any portion of it, except as expressly permitted in these Terms.

You may provide feedback or suggestions about the Service. We may use that feedback without restriction or obligation to you.

7. Termination

You may stop using the Service at any time.

We may suspend or terminate your access to the Service (or any part of it) if:

  • You materially breach these Terms and do not cure the breach within a reasonable period after we notify you; or

  • We reasonably believe your use of the Service presents a security, legal or operational risk.

Upon termination, we will handle Customer Data in accordance with these Terms, our Privacy Policy, and any applicable DPA or subscription agreement.

8. Disclaimer of Warranties

The Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory.

To the fullest extent permitted by law, Aude disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or free of harmful components.

9. Limitation of Liability

To the fullest extent permitted by law:

  • Aude will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenues, data or goodwill, arising out of or related to your use of the Service.

  • Aude’s total aggregate liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of:

    • the amounts you paid to Aude for the Service in the 12 months prior to the event giving rise to the claim, or

    • US$100 if you have not paid any fees.

Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the above may not apply to you.

10. Changes to the Service and These Terms

We may update or modify the Service over time, including adding or removing features.

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. If changes are material, we will provide additional notice (for example, by email or in-app notification).

Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the changes.

11. Governing Law

These Terms are governed by the laws of the State of Washington, USA, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in King County, Washington, and you consent to the jurisdiction of those courts.
